Company Care: ongoing legal support for your company in Serbia
A company in Serbia produces obligations every month, whether or not its owner is in the country. Company Care is the name we give to a yearly engagement in which our office takes over the legal side of running it: the registered seat, the official mail, the changes at the Business Registers Agency, the filings a foreign director has to make with the police, and the questions that come up in between.
What the engagement covers
One attorney of the office is responsible for the company's file for twelve months and is the person you write to. The scope below is the standard one; it is adjusted in the written agreement to the company and to whether the director lives in Serbia.
- Registered seatSeat of the company at the office's address in Belgrade, with the address registration of a foreign director where a bank requires it.
- Official mailReceipt and review of official mail the day it arrives, with a written note on content and deadline.
- Deadline calendarA calendar of the company's and the director's statutory deadlines, with written reminders in advance.
- Register changesChanges in the register of the Business Registers Agency: director, business activity, seat, capital, members.
- Foreign directorsExtension of temporary residence, reporting of a new passport or address, request for a tax residence certificate.
- Written adviceLegal advice on the company's day-to-day business: contracts, employment, lease, compliance with Serbian regulations.
- Accountant liaisonCommunication with the company's accountant on legal matters, so questions do not travel through the owner.
- Annual reviewA review of the company's standing at the Business Registers Agency and the Tax Administration once a year.
What it does not cover
Bookkeeping and tax filings, which are done by a licensed accountant; representation in court or before enforcement officers, which is agreed separately; and state fees, notary and translation costs, which are paid at cost against receipts.
How the fee is agreed
The fee is agreed in writing before the engagement starts, as a fixed annual amount under the Attorney Tariff of the Serbian Bar Association, and is paid in advance to the attorney's business account. The engagement runs for twelve months and is renewed by a new written agreement.
How we handle it
- Review of the companyWe read the APR excerpt, the founding act, the current seat and, for a foreign director, the residence permit and passport.
- Written agreementScope, fee and the twelve-month term are set out in writing. Nothing starts before it is signed and the fee is paid.
- CalendarWithin five working days you receive the company's deadline calendar for the year.
- The yearWe read the mail, file the changes, answer the questions and remind you before every date.
- RenewalThirty days before the end we send the agreement for the next year.
What to send us
- APR excerpt of the company
- Founding act and current registered seat
- Passport copy of the director
- Residence permit, if the director lives in Serbia
- Contact of the company's accountant
- Any open notice from APR or the Tax Administration
Frequently asked questions
Does the office have to have registered the company?
No. We take over companies registered elsewhere. The review at the start tells us what state the file is in.
Is the registered seat at the office enough for a residence permit?
No. The seat is the company's address. For a residence permit the police require the address where the director actually lives.
Who does the bookkeeping?
A licensed accountant, under a separate contract with the company. We handle the legal questions the accountant raises and check that the annual financial statement was filed.
What happens if the engagement is not renewed?
The company has to register a new seat. We say this in writing before the term ends, and remove the seat from the register only after the term and a notice period set in the agreement.
How are your fees set?
Fees follow the Serbian Attorney Tariff. You receive a written offer before work starts, and state fees are paid separately.
